MicroStrategy's mNAV just broke below 1.0

MicroStrategy (MSTR) now trades for less than the Bitcoin sitting on its balance sheet. Its mNAV — the ratio of total market capitalization to the value of its Bitcoin treasury — slipped below 1.0, meaning the market values the whole company at a discount to its BTC stack alone.

That threshold matters because MSTR's entire flywheel depended on staying above it. When the stock trades at a premium to its Bitcoin (mNAV above 1), the company can issue shares at a markup and buy more BTC, adding value per share. Below 1, that math inverts: issuing stock to buy Bitcoin would dilute existing holders instead of rewarding them.

As a result, the company is halting its stock-funded Bitcoin purchases and pivoting toward share buybacks — using capital to shrink the share count rather than expand the Bitcoin position.

Why the premium collapsed

For years MSTR functioned as a leveraged Bitcoin proxy, and investors paid up for that exposure — pushing its valuation well above the underlying BTC. A sub-1 mNAV signals that premium has evaporated, with the market no longer willing to pay extra for indirect Bitcoin exposure through the stock.

A buyback at a discount can be accretive: retiring shares below the per-share value of the treasury raises the Bitcoin backing each remaining share. But it also marks a regime change — the aggressive, debt-and-equity-fueled accumulation engine that defined MSTR is paused until the premium returns.

What it means for traders

The most direct read is on MSTR-driven BTC demand: a company that was a persistent, headline-grabbing buyer steps back from the bid. One structural source of spot demand pausing is worth factoring into the supply-demand picture, even if the dollar impact is gradual.

For anyone trading MSTR itself, the stock's behavior may decouple from its old role as a high-beta Bitcoin amplifier. Buybacks change the playbook: the discount-to-NAV becomes the variable to watch, and the stock could track its treasury more tightly than the leveraged premium it once commanded.
